Marsh Teknica and its affiliates (“Marsh” or “we”) provides its content on its websites or applications that post a link to this Terms of Use (the “Site”) subject to the following terms and conditions (the “Terms”). We may periodically revise, amend, or update the Terms without prior notice, and therefore encourage you to review them from time to time to stay informed of any changes. 1. Copyrights

All content and functionality on the Site, including but not limited to text, graphics, logos, icons, images, audio clips, video materials, and the selection and arrangement thereof, together with any concepts, methodologies, know-how, tools, frameworks, software, applications, or other technology, including algorithms, models, processes, and industry perspectives underlying or embedded in the foregoing, along with any enhancements, updates, or derivative works thereof (collectively, the “Site Content”), is the exclusive property of Marsh or its licensors and, to the extent applicable, is protected by international copyright laws and other applicable intellectual property laws.

Neither the Site Content nor any functionality of the Site may be copied, reproduced, modified, reverse engineered, decompiled, altered (including removal or disabling of any security mechanisms, technological safeguards, disclaimers, or proprietary notices), uploaded, published, posted, transmitted, or distributed in any manner without the prior written consent of Marsh, except as expressly permitted under Section 3 – Use of Site Content. All rights not expressly granted herein are strictly reserved by Marsh and its licensors.

2. Trademarks

The trademarks, service marks, trade names, designs, and logos (collectively, the “Trademarks”) displayed on the Site are the registered and unregistered Trademarks of Marsh and its licensors. Nothing contained on the Site should be construed as granting, by implication, estoppel, or otherwise, any license or right to use any Trademark without the prior written permission of Marsh or such third party that may own the applicable Trademark.

You agree that, except as expressly permitted by Marsh (for example, through officially provided social media sharing tools) or by its licensors, you will not refer to or attribute any information to Marsh or its licensors in any public medium, including but not limited to press releases, websites, or social media platforms, for advertising or promotional purposes, or for the purpose of informing or influencing any third party. You further agree not to use or reproduce any Trademark of, or imply any endorsement by or relationship with, Marsh or its licensors without explicit authorization.

3. Use of Site Content

Marsh hereby grants you a limited, non-exclusive, non-transferable, revocable license for the duration of your compliance with these Terms to access, download, display, and print one copy of the Site Content on a single computer solely for your internal and legitimate business use, provided that:

You do not modify the Site Content in any manner, including the creation of derivative works;
You retain all copyright, trademark, and other proprietary notices contained within the Site Content; and

The license granted herein shall terminate automatically and without notice if you fail to comply with any provision of these Terms.

4. User Postings

You acknowledge and agree that Marsh shall own and have the unrestricted right to use, reproduce, publish, distribute, and otherwise exploit any and all information that you post or otherwise submit on the Site, including but not limited to postings, forums, message boards, questionnaires, surveys, and any other submissions.

By submitting any such content, you automatically grant, and hereby irrevocably grant, to Marsh a worldwide, non-exclusive, transferable, assignable, sublicensable, fully paid-up, royalty-free, perpetual, and irrevocable license to use, reproduce, modify, publish, translate, distribute, and otherwise exploit such submissions in any form, format, or media now known or hereafter developed, for any lawful purpose.

You further waive any and all claims against Marsh for any alleged or actual infringement of rights of privacy, publicity, intellectual property, moral rights, or rights of attribution in connection with Marsh’s use and publication of such submissions.

You agree that you shall not post or publish any content that:

(a) is threatening, defamatory, obscene, or unlawful;
(b) encourages conduct that would constitute a criminal offense or give rise to civil liability;
(c) infringes upon the intellectual property or other rights of any third party;
(d) contains viruses or harmful components;
(e) constitutes unsolicited advertising or spam;
(f) contains false or misleading statements; or
(g) otherwise violates these Terms.

Marsh does not endorse or guarantee the accuracy of user-generated content and is not obligated to monitor such content. However, Marsh reserves the right, at its sole discretion, to remove or refuse to post any content for any reason or no reason.

5. Notices of Infringement and Takedown

Marsh strictly prohibits the posting of content that infringes upon the intellectual property rights of others. If you believe that your intellectual property rights have been violated, you may submit a written notification to Marsh including:

(a) Identification of the copyrighted work or intellectual property;
(b) Identification of the allegedly infringing material;
(c) Your contact details;
(d) A statement of good faith belief;
(e) A declaration of accuracy under penalty of perjury; and
(f) Your signature or authorized representative’s signature.

Upon receipt of a valid notice, Marsh will take appropriate action, including removal of the infringing content in accordance with applicable law.

The Site Content is provided for general informational purposes only and should not be construed as professional advice of any kind, including but not limited to legal, financial, tax, or investment advice. You acknowledge that your use of the Site is at your own risk.

Marsh and its third-party providers make no representations regarding the accuracy, completeness, or reliability of the Site Content. Under no circumstances shall Marsh be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits or revenues.

7. Indemnification

You agree to indemnify, defend, and hold harmless Marsh and its affiliates, officers, directors, employees, agents, and representatives (“Marsh Indemnified Parties”) from and against any and all claims, liabilities, damages, losses, or expenses arising out of or related to your use of the Site or violation of these Terms.

Marsh reserves the right to assume exclusive defense and control of any matter subject to indemnification by you.

8. Third-Party Websites & Providers

The Site may contain links to third-party websites or content provided by third parties. Such third-party sites are governed by their own terms and policies, and Marsh shall not be responsible or liable for any such third-party content, services, or practices.

9. Governing Law; Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Republic of India, without regard to conflict of law principles. Any disputes arising in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts in India.
